The ADK Group Charter
Foreword
ADK Holdings Inc. and its group companies (collectively called the ADK Group) have formulated a Group Charter to ensure awareness and independent fulfillment of their corporate responsibilities as members of society, as well as to increase overall corporate value. In the course of its business activities, while understanding and respecting the “Management by All” management philosophy that has been upheld since its founding, the ADK Group shall endeavor to behave in accordance with this Group Charter and in good faith as it aims for further development and significant future growth.
(1) General Rules
- The ADK Group shall respect the dignity and rights of all humans and behave appropriately in accordance with all relevant laws, regulations, and social rules, not only when providing communications services to customers but also when undertaking all associated activities.
- When conducting business overseas, the ADK Group shall observe international rules and the laws, regulations, and norms of each country, and respect local cultures and customs. When managing local subsidiaries, the ADK Group will endeavor to localize their operations and contribute to the advancement of each country in question.
(2) Improving Corporate Value
- In addition to helping improve customers’ brand value, the ADK Group shall work to provide high-level communication services that are conducive to social revitalization and cultural development.
- From a medium- to long-term perspective, the ADK Group shall strive for ongoing improvement of corporate value while ensuring sound business management, considering the interests of its wide range of stakeholders, and aiming for coexistence and co-prosperity with society.
(3) Respecting Laws and Regulations and Establishing Basic Ethics
Business activities based on fair competition and appropriate transactions
- In the course of its business activities, the ADK Group shall engage in fair competition and appropriate transactions while observing relevant laws, regulations, and social rules.
- When selecting suppliers and other partners, the ADK Group shall ensure fair and transparent selections by respecting human rights and clarifying its own needs and conditions, its selection processes, and the reasons for its final decisions.
- In the course of its business activities, the ADK Group shall ensure appropriate information management. In particular, the ADK Group shall fulfill its obligation to protect the confidential information of its business partners, while at the same time ensuring the appropriate and meticulous management of other important information, including personal information it has collected through its operations.
- In addition to ensuring the proper protection of its intellectual property, the ADK Group shall also respect the intellectual property of third parties.
Conforming to social norms and achieving social justice
- In the course of its business activities, the ADK Group shall advocate social justice and act in good faith with a clear separation of public and private matters.
- When dealing with clients and other business partners, the ADK Group shall never offer gifts, entertainment, or special treatment beyond socially accepted levels, and shall not be the recipient of such offers.
- The ADK Group shall maintain highly transparent relationships with politicians and government organizations.
- The ADK Group shall have no relations with antisocial groups and will staunchly decline any requests from them.
Respecting the diversity, personalities, and individualities of employees, and establishing comfortable work environments
- The ADK Group shall respect the rights of employees and provide environments that allow them to maximize their individualities and capabilities with a management-oriented mindset.
- The ADK Group shall respect labor laws and regulations and set up and maintain sound and comfortable work environments. Under no circumstances will the Group allow forced labor, labor against the individual’s will, or child labor.
- The ADK Group shall make no discrimination based on race, religion, nationality, gender, age, ability, disability, or any other factors, and shall make objective evaluations of each individual’s qualities and demonstrated capabilities.
(4) Environmental Protection and Social Contribution
Caring for the environment
- In the course of its business activities, the ADK Group shall fully comprehend the effects of its corporate activities on the environment and promote activities to reduce their detrimental impact on the environment.
- In its provision of communications services to customers, the ADK Group shall develop and propose communication methods with an awareness of environmental issues. Through such activities, the ADK Group shall strive to help solve environmental problems.
Social contribution initiatives
- The ADK Group shall work proactively to benefit society in the communication domain. To this end, the ADK Group will consider providing ideas and creative services free of charge while working in close cooperation with public entities and organizations, nongovernmental organizations (NGOs) and nonprofit organizations (NPOs), and outside entities with specialist expertise.
- While respecting employees’ autonomy, the Group shall encourage employees to use their capabilities and experience for the benefit of society and support their efforts to do so.
(5) Thoroughly Implementing the Group Charter
- To ensure a full understanding of this Group Charter, the ADK Group shall provide employees with regular education and training.
- From the perspective of risk management, the ADK Group shall establish internal systems to prevent violations of this Group Charter.
- In the event of an unforeseen violation of this Group Charter, the ADK Group shall work diligently to correct the problem, clarify the cause, and prevent a reoccurrence.
