On the Business Merger of ADK’s Three Subsidiary Advertising Agencies

On June 28th, 2004, ASATSU-DK INC., (hereafter ADK) approved the business merger of its three subsidiary advertising agencies as follows.

The subject three agencies are:
Sanyu Agency Co., Ltd. (President: Yoji Hashimoto, Capital: 150 million yen)
Dai-Ichi Kikaku Communications Inc. (President: Toyohide Hashimoto, Capital: 20 million yen)
DIK Relationship-Marketing Co., Ltd. (President: Makoto Ito, Capital: 50 million yen)


The dominant and continuing company will be Sanyu Agency. The business merger will take place on July 1st, 2004, and the new company will start its business from that day under the new name: "TRI Communication Inc." Yoji Hashimoto, former president of Sanyu Agency and special advisory director to ADK, will become the president. The new company will have a capital of 200 million yen and 50 employees, expecting 3.5 billion yen sales in the first fiscal year.

Business areas of the new company are wide and varied:
Newspaper, magazine, broadcast, outdoor and other media advertising
Sales promotion
Public relations
Planning and production of advertising expressions
Planning and consulting services on one-to-one marketing


The environment surrounding the advertising industry is extremely severe. In order to respond to such vehement change of the times and improve the group management efficiency, ADK has been promoting the comprehensive restructuring of its affiliates as a part of its management reform. The business merger of these three subsidiary advertising agencies is the second movement following the establishment of ADK Arts that took place in March, 2003, through a business merger of five creative and SP subsidiaries. Through these business mergers, ADK will strengthen its corporate metabolism by functionally utilizing each company's know-how, improving its capability of responding to each client's 360-degree communication strategy and improving its management efficiency by consolidating duplicated operations.
